Corporate governance
In the field of corporate governance our office provides counseling in the following areas:
- auditing or drafting of board and committee charters and governance standards;
- advising the management on the fiduciary duties regarding ongoing corporate governance and transactional matters, including change of control and interested party transactions;
- legal assistance to ensure the compliance with disclosure and related requirements under securities laws and related regulations;
- development of corporate governance compliance programs and codes of ethics; and
- responses to regulatory inquiries and investigations.
